Honestly i sort of like both.
By saying the Panny is ugly i don't mean i would never have one, just that most of the time i would choose something else over it. Like the M5.

You only need to drive both cars for 5 mins to realize why you made your choice!
BMW have been making performance sedans for decades, and M5 leads the pack in every department of the industry!
Porsche are rookies and will need another decande or two to even compete in the performance sedan department! For now, they need to stick to 911's!

Had a e39 and e60 M5 and loved them...then the Panamera was released and I bought a fully specced launch car. The performance was lightyears ahead of the e60 with stunning interior design. The exterior is much more exclusive and innovative. I really like the look of the Panamera. That being said....I have had the Panny for over 2 years now and I have been wandering. The next Panny isn't due until 2015 or 16.
The F10 M5 is available with a 6 speed manual transmission!!! This alone makes me very curious. My gut tells me the F10 will feel common with a corporate interior feel. I know it won't hold a candle to the 970 in the performance department but...again it is RWD with a manual so it will be very fun to hoon around the city with the rear outpacing the front.
Tough call for me but if I really loved the F10 that much I would have already put down a deposit, and I haven't.
Generally, I would opt for the Panamera based on performance, exclusivity, design, comfort, technology.
