Yes the entire rear section of the sedan is differrent then the coupe as well las most of the body panels

The M5 (e39) is a brilliant piece of machinery, but some people want to lease a new car or might not want a manual transmission.

What's the mkt these days on a lightly used E60 a year or 2 old ?

I see, but wouldn't that be quite a bit more money than the M3 (e90), and you wouldn't be able to lease, plus it would be almost out of warranty. It does seem like a good point though, as the M5 (e60) is a phenomenal machine.
